Terms of Service

These terms and conditions of use (hereinafter referred to as “Terms and Conditions”) are governed by the Terms and Conditions of Heap (hereinafter referred to as “We”). This Terms of Service Agreement (hereinafter referred to as the “Agreement”) applies to the use of the Doox (hereinafter referred to as the “Service”) by Heap Inc. (hereinafter referred to as “we”). (hereinafter referred to as “we”, “us”, or “our”) sets forth the terms and conditions for the use of Doox (hereinafter referred to as “the Service”). (hereinafter referred to as “we”, “us”, “our”, or “the user”). Registered users (hereinafter referred to as “Users”) are requested to follow the terms and conditions of this Agreement and to agree to be bound by the Terms of Service. (“Dox.jp”, “we”, “us”, “our”, “our”) shall use the Service in accordance with these Terms of Service.

1. Application 1.

These Terms of Service shall apply to all relationships between the User and the Company regarding the use of the Service. 2. In addition to these Terms of Service, we may establish other rules and regulations regarding the use of the Service (hereinafter referred to as “Individual Regulations”). 2. management of user account

  6. acts of altering, analyzing, reverse engineering, decompiling, disassembling, or otherwise extracting the source code of software comprising the Service, or other similar acts (8) acts of having input data, such as computer programs, input into the Service by non-human input. 9. 4. Suspension of the Service, etc.

We reserve the right to suspend or discontinue the Service, in whole or in part, without prior notice to the User, for any of the following reasons: 1. 5 Restrictions on Use and Cancellation of Registration

We may, without prior notice, restrict a User’s use of all or part of the Service or terminate the User’s registration if the User falls under any of the following. 1.

6. Attribution of Rights

In addition, if any new intellectual property rights or other rights arise from the use of the Service, such rights shall belong to us. 2. (2) If the input data contains text, information, etc. subject to copyrights or other intellectual property rights of third parties (“Works, etc.”), the User shall, at the User’s expense and responsibility, obtain permission from the copyright holder or other right holder before inputting such Works, etc. to ensure that the intellectual property rights pertaining to such Works, etc. are not infringed, and use them legally in the Service (including creating and displaying output data with the Service), and comply with these Terms and Conditions. (2) The User shall perform all acts necessary to comply with these Terms of Service. You represent and warrant to us that you have the lawful right to use the Input Data in the Service and that the use of the Input Data in the Service does not infringe upon the rights of any third party. In the event of infringement of any third party’s rights as a result of User’s breach of the above representations and warranties, we shall not be liable in any way, except in the case of willful misconduct or gross negligence on our part, and User agrees to be bound by such representations and warranties without objection. User agrees to indemnify us for any and all damages arising out of or in connection with any breach of such representations and warranties. 4. If a third party files an objection or other claim regarding infringement of intellectual property rights with respect to the Input Data, the User shall resolve such claim at the User’s own expense and responsibility. In the event that we suffer any damage, etc. arising out of or in connection with such claims, etc., you shall indemnify us for all such damage, etc. (including attorney’s fees). We shall indemnify the Company for all such damages (including attorney’s fees) in the event the Company suffers damages arising from or in connection with such claims, etc. 5. We may request the User to disclose the status of use of the Service when we reasonably deem it necessary, and the User agrees to comply with such request. 7.

In the event that we are liable for damages, our liability to the user shall be limited to the amount of the usage fee received from the user for the month in which the damage occurred. 4. We shall not be liable for any transaction, communication, or dispute between a User and another User or a third party in connection with the Service. 5. We do not guarantee the completeness, accuracy, certainty, usefulness, etc. of the contents of the Service or information obtained by the User through the Service. 8.

8. Management and Use of Information by Us

  1. for the purpose of statistical research for the purpose of improvement of the Service, support for introduction of the Service, maintenance of the Service, etc., we shall use statistical values such as usage of the Service by users, frequency of use of screens and items, etc., or analyze such information to the extent necessary for statistical research, and shall use such information for secondary processing, and the Subscriber shall not be liable for any damage caused by such statistical research, secondary processing, or use. The Subscriber agrees to such statistical research and secondary processing and utilization. 2. (2) We shall endeavor to maintain the confidentiality and control of the data entered by the User with the care of a good manager. (3) The User agrees that we may use the data for statistical research and secondary processing only to the extent necessary for statistical research. User agrees that if we are required to disclose or submit information regarding the Service by order of a court of law or other legally authorized government agency, we may disclose or submit such information in accordance with such order, and User shall not object to such disclosure or submission.

9. Third Party Services

We may use or link the Service with services operated or provided by third parties through websites, applications, or software (hereinafter referred to as “Third Party Services”). 10. outsourcing

We may outsource all or part of the work related to the provision of the Service to an outside party without the User’s consent. However, in such case, we shall be responsible for managing the outsourced company.

11. Change or Termination of the Service

We may, at our discretion, add or change any part of the Service for the purpose of adding or improving the functionality of the Service. However, we do not guarantee that all functions and performance of the Service prior to such additions or changes will be maintained. 2. We may terminate the provision of the Service at our convenience by posting a notice on our website or by other means.

12. modification of these terms of service

We reserve the right to modify these Terms of Service without requiring individual User consent in the following cases: (1) When the modification is in the general interest of the User.

  2. the modification of the Terms of Service is not contrary to the purpose of this Service Agreement, and is reasonable in light of the necessity of the modification, reasonableness of the modified contents, and other circumstances related to the modification; and 2. we have notified the User in advance of the modification. (2) We will notify the User in advance of any modification of these Terms of Service in accordance with the preceding paragraph, of the fact that these Terms of Service will be modified, of the contents of the modified Terms of Service, and of when the modification will take effect. However, if we reasonably determine that the changes are minor and will not be particularly detrimental to the user, we will not notify the user.

13. Handling of Personal Information

We will appropriately handle personal information obtained through the use of the Service in accordance with our “Privacy Policy.

14. notice or communication

Notices or communications between a user and us shall be made in a manner determined by us. Unless the user notifies us of a change in his/her contact information in accordance with the method we have prescribed separately, we will assume that the currently registered contact information is valid and send notices or communications to that contact information, which will be deemed to have reached the user at the time they are sent.

15. Prohibition of Assignment of Rights and Obligations

The User may not assign his/her position under the User Agreement or any rights or obligations under this Agreement to any third party or offer them as security without our prior written consent.

16. Governing Law and Jurisdiction

The Terms of Service shall be governed by and construed in accordance with the laws of Japan. 2. The Tokyo District Court shall be the court of exclusive jurisdiction for the first instance in the event of any dispute arising in connection with the Service.
